Terms and Conditions

These Terms and Conditions ("Terms") form a binding agreement between you ("you", "your") and Postwave ("Postwave", "we", "us", "our") and govern your access to and use of the Postwave website, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

You must be at least 16 years old (or the minimum age of digital consent in your jurisdiction) and capable of entering into a legally binding contract to use the Service. By using Postwave you represent that you meet these requirements.

To use most features you must register an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

Postwave is built around shared workspaces. When you create a workspace, you become its owner; when you join a workspace, the owner and admins may view content you create within it, manage scheduled posts, invite or remove members, and revoke your access. You agree not to upload content to a workspace you are not authorized to manage.

The Service connects to third-party platforms including Instagram (via the Meta Graph API) and Google Drive. Your use of those platforms remains subject to their own terms and policies. You are solely responsible for ensuring you have the right to connect any account and to publish any content through it. We are not responsible for outages, rate limits, policy changes, or actions taken by those third parties.

You retain all ownership rights in the media, captions, and other materials you upload, link, or schedule through the Service ("Your Content"). You grant Postwave a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process Your Content solely as needed to operate and provide the Service to you and your workspace.

You represent and warrant that you own or have all necessary rights to Your Content and that publishing it through the Service does not violate any law or third-party right.

You agree not to:

• Use the Service to publish unlawful, infringing, defamatory, harassing, deceptive, or sexually explicit content involving minors.
• Attempt to bypass rate limits, security controls, or access controls of the Service or the connected platforms.
• Reverse engineer, decompile, or attempt to extract the source code of the Service except where permitted by law.
• Use the Service to send spam, automate abusive behavior, or interfere with another user's enjoyment of the Service.
• Resell or sublicense the Service without our written consent.

Some features may require a paid subscription. Fees, billing cycles, and renewal terms will be presented at checkout. Unless required by law or stated otherwise, fees are non-refundable. You authorize us (and our payment processors) to charge your payment method for all amounts due.

We may suspend or terminate your access at any time if we reasonably believe you have violated these Terms, created risk for us or other users, or for any other lawful reason. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including ownership, disclaimers, indemnity, and limitations of liability) will continue to apply.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that scheduled posts will publish without error or delay. You use the Service at your own risk.

To the maximum extent permitted by law, Postwave and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months before the claim, or (b) USD 50.

You agree to defend, indemnify, and hold Postwave harmless from any claim, damage, or expense arising from Your Content, your use of the Service, or your violation of these Terms or any third-party right.

We may modify the Service or these Terms at any time. If the changes are material, we will notify you (for example by email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Postwave is established, without regard to its conflict-of-laws rules. The courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless mandatory consumer law grants you the right to sue in your country of residence.
